1Introduction

These terms and conditions ("Terms") govern the provision of website design and development services ("Services") by Broadbent Group Ltd ("We", "Us", "Our" or "Company") to you ("Client", "You" or "Your"). By engaging our Services, you agree to be bound by these Terms.

These Terms should be read in conjunction with our main Terms & Conditions and Privacy Policy.

2Service Description

We provide website design and development services, including but not limited to:

  • Website design and user interface development
  • Front-end and back-end development
  • Content management system (CMS) integration
  • E-commerce functionality
  • Responsive design and mobile optimization
  • Search engine optimization (SEO) implementation
  • Third-party integrations and API development
  • Website testing and quality assurance

3Project Scope and Deliverables

The specific scope of work, deliverables, timelines, and milestones will be set out in a written proposal, statement of work, or project agreement ("Project Agreement"). The Project Agreement forms part of these Terms.

Deliverables may include:

  • Design mockups and wireframes
  • Source code and files
  • Documentation
  • Training materials
  • Deployed website or application

Any changes to the project scope may result in additional fees and timeline adjustments, which will be agreed upon in writing before work commences.

4Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for the project
  • Provide content, images, and materials in a timely manner
  • Review and provide feedback on deliverables within agreed timeframes
  • Obtain necessary licenses, permissions, and approvals for content you provide
  • Ensure you have the legal right to use any third-party content, trademarks, or materials
  • Make timely payments as specified in the Project Agreement
  • Provide access to necessary systems, accounts, or resources required for the project

Delays in providing required information or feedback may result in project delays and additional costs.

5Revision Policies

We will provide a reasonable number of revisions as specified in your Project Agreement. Additional revisions beyond the agreed number may incur additional fees.

Revisions must be requested within the agreed timeframe. Requests for revisions after project completion or after acceptance of deliverables may be treated as new work and charged accordingly.

We reserve the right to charge for revisions that substantially alter the original scope or design direction.

6Intellectual Property Ownership

Client Ownership: Upon full payment of all fees, you will own the final deliverables, including the completed website, source code (excluding third-party components), and custom designs created specifically for your project.

Our Retained Rights: We retain ownership of:

  • Pre-existing code, tools, frameworks, and methodologies
  • Third-party components, libraries, and plugins (subject to their respective licenses)
  • General design concepts and techniques not specific to your project
  • Our portfolio rights to display the work for promotional purposes

We grant you a non-exclusive, worldwide, perpetual license to use any pre-existing tools or frameworks incorporated into your project.

7Payment Terms

Payment terms will be specified in your Project Agreement. Typically:

  • A deposit may be required before work commences
  • Milestone payments may be due upon completion of specific project phases
  • Final payment is due upon project completion and delivery
  • All fees are exclusive of applicable taxes (VAT, sales tax, etc.)

Late payments may result in:

  • Suspension of work until payment is received
  • Interest charges on overdue amounts
  • Withholding of deliverables until payment is made

8Timeline and Milestones

Project timelines and milestones will be agreed upon in the Project Agreement. We will use reasonable efforts to meet agreed deadlines, provided that:

  • You provide required information and feedback in a timely manner
  • No changes are made to the project scope without written agreement
  • No delays are caused by third-party services or dependencies

We are not liable for delays caused by factors beyond our reasonable control, including but not limited to client delays, third-party services, or force majeure events.

9Acceptance Criteria

Deliverables will be considered accepted if:

  • They meet the specifications set out in the Project Agreement
  • They function as described and are free from material defects
  • You have not raised material objections within the agreed acceptance period (typically 7-14 days)

Minor adjustments and bug fixes are expected and will be addressed as part of the project. Acceptance does not waive your rights under applicable consumer protection laws.

10Third-Party Services and Components

Your project may incorporate third-party services, components, or software (e.g., hosting, payment processors, CMS platforms, plugins). These are subject to their respective terms and conditions and may incur additional fees.

We are not responsible for:

  • Changes to third-party services that affect your website
  • Third-party service outages or discontinuations
  • Compliance with third-party terms and conditions
  • Ongoing fees for third-party services

11Warranty and Support

We warrant that the Services will be performed in a professional and workmanlike manner. We will correct any material defects in the deliverables for a period of 30 days after acceptance, provided such defects are reported promptly.

This warranty does not cover:

  • Issues caused by modifications made by you or third parties
  • Compatibility issues with unsupported browsers or systems
  • Issues arising from third-party services or components
  • Normal wear and tear or changes in technology standards

12Cancellation and Termination

Either party may terminate the project with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work and materials
  • You will have no further rights to incomplete work unless otherwise agreed

If you cancel the project, any deposits or payments made are non-refundable except as required by law or as specified in your Project Agreement.

13EU Consumer Rights and Distance Selling

If you are a consumer located in the European Union, you have additional rights:

  • Right of Withdrawal: For custom-made or personalized goods (which includes custom websites), you may not have the right to withdraw once we have begun performance with your explicit consent. However, you retain rights under applicable consumer protection laws.
  • Pre-Contract Information: Before entering into a contract, we will provide you with clear information about the Services, pricing, and your rights.
  • Warranty Rights: The Services must conform to the description provided and be fit for their intended purpose. If they do not conform, you may be entitled to repair, re-performance, or a price reduction.

14Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to the Services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
